- Pre-acquisition:
Our Due Diligence review concentrates on assessing the risk to the acquirer in terms of both management and financial risk. The outcome of the review highlights the key financial warranties required in the legal agreement. We also assist in the review of the legal documentation and manage the completion procedures. - Post-acquisition
Often the key factor in the success of an acquisition is not so much the transaction itself, but the manner in which the two businesses are integrated. Solutions are required on restructuring, business processes, systems, controls, management responsibilities and reporting structures. MGCF has proven experience delivering relevant advice to everyone's benefit, ensuring that the integration is carried out in a timely, efficient and successful manner. - Being acquired
The business being acquired has a number of issues to be addressed and decisions to make. The objective is to maximise the selling price and ensure that the terms and conditions of the deal are as favourable as possible.
Having advised on both sides of transactions, MGCF can offer the acquiree business an invaluable insight to elements of the proposed deal which can be negotiated and improved upon, as well as on prospective purchasers and disposal tactics. For example, ensuring the proceeds are received in the most tax-advantageous way is an important issue for the acquiree.
